Terms and Conditions

These Terms govern your access to and use of the ProSansaar platform. Please read them carefully before using our services.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

Definitions

Platform The website and services available at prosansaar.com operated by ROQTO INNOVATIONS under the brand name ProSansaar.
Professional / Service Provider A person or business offering services to Clients through the Platform.
Client / Customer A person or business requesting or purchasing services from Professionals through the Platform.
User Any person using the Platform, including Professionals and Clients.
Account A registered profile created on the Platform.
Escrow A payment holding arrangement where Client funds are held via our payment partners until work completion and Client approval.

Eligibility and Account Registration

2.1 To use the Platform, you must:

  • Be at least 18 years old (or the legal age in your jurisdiction), and
  • Have the legal capacity to enter into a binding contract.

2.2 Account Information

You must provide accurate and complete information when creating an Account and keep it updated.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login details and for all activities under your Account. If you believe your Account is compromised, you must notify us immediately.

Use of the Platform

3.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.

3.2 You agree not to:

  • Use the Platform for any fraudulent, harmful, or illegal activity.
  • Post or share content that is offensive, defamatory, misleading, or violates any rights of others.
  • Attempt to disrupt, hack, or gain unauthorized access to the Platform or other Users' Accounts.

3.3 We may suspend or terminate your access to the Platform if we believe you have violated these Terms or applicable laws.

Role of ProSansaar and Relationship Between Users

  • 4.1 ProSansaar is a marketplace platform operated by ROQTO INNOVATIONS that connects Professionals and Clients.
  • 4.2 ProSansaar does not itself provide the services listed by Professionals and is not a party to individual service contracts between Professionals and Clients.
  • 4.3 Any agreement for services (scope, price, timelines, deliverables, revisions, etc.) is solely between the Professional and the Client.
  • 4.4 Professionals are independent contractors, not employees, partners, or legal representatives of ProSansaar or ROQTO INNOVATIONS.
  • 4.5 ProSansaar does not guarantee the quality, legality, or suitability of services provided by Professionals, nor the conduct or performance of any User.

Service Process and Escrow Payments

5.1 Project Agreement

  • Clients may post requirements or choose services offered by Professionals.
  • The Professional and Client should clearly agree on the scope of work, price, timeline, and deliverables through the Platform before work starts.

5.2 Advance Payment and Escrow

  • Clients must make payment in advance for the agreed services through the Platform.
  • Payments are held in an escrow-like arrangement via our payment partners until:
    • The Professional completes the work; and
    • The Client approves the work on the Platform (or is deemed to have approved as per Platform rules).

5.3 Start of Work

Professionals will begin work only after the Client's payment has been successfully processed and confirmed in the Platform's system.

5.4 Completion, Review, and Approval

Once the Professional marks the work as completed, the Client must review it within the time specified on the Platform or as mutually agreed. The Client may:

  • Approve the work;
  • Request reasonable revisions if included in the original agreement; or
  • Raise a dispute (see Section 8).

5.5 Release of Funds to Professional

After Client approval (or deemed approval), the funds will be released from escrow to the Professional's account after deduction of:

  • ProSansaar's platform commission; and
  • Any applicable processing fees and charges.

The net amount payable to the Professional will be reflected in their account summary.

Responsibilities of Professionals

6.1 Professionals agree to:

  • Provide accurate and truthful information in their profile and service listings.
  • Deliver services with reasonable care, skill, and professionalism.
  • Respect agreed timelines and scope of work.
  • Comply with all applicable laws, including tax, GST, and other regulatory requirements.

6.2 Professionals are solely responsible for:

  • The content they publish on the Platform;
  • Handling their own taxes, including income tax and GST where applicable;
  • Compliance with FEMA, RBI regulations, and any other relevant rules in the case of cross-border or foreign exchange transactions.

Responsibilities of Clients

7.1 Clients agree to:

  • Provide clear, accurate project details and requirements.
  • Make timely payments through the Platform using the available payment methods.
  • Review submitted work within a reasonable time and respond in good faith.

7.2 Clients must not:

  • Use the Platform to bypass ProSansaar's payment system or avoid platform commission for projects initiated on the Platform (where prohibited by our rules).
  • Make unreasonable demands beyond the agreed scope without renegotiating terms.

7.3 Clients are responsible for ensuring they have legal rights to request the services and use the resulting deliverables.

8

Dispute Resolution and Refunds

8.1 Direct Resolution First

If there is any issue regarding the service, the Client and Professional should first attempt to resolve it directly through Platform communication.

8.2 Raising a Dispute with ProSansaar

  • If direct resolution is not successful, either party may raise a dispute through the Platform within the specified timeframe.
  • ProSansaar may request evidence (communication logs, files, milestones, etc.) from both parties.

8.3 Platform's Dispute Handling

ProSansaar will review the case and make a good faith decision on:

  • Whether a refund (full or partial) should be issued; and
  • Whether payment should be released to the Professional.

This is an internal dispute resolution process and not a legal arbitration or court decision.

8.4 Refund – Professional at Fault

If ProSansaar concludes that the Professional is significantly at fault (e.g., non-delivery, unreasonable delay without cause, quality clearly below agreed standards, or breach of Terms):

  • A full or partial refund may be issued to the Client from the escrowed funds;
  • The Professional may lose entitlement to the corresponding payment; and
  • Additional measures (warnings, restrictions, or account termination) may be taken against the Professional.

8.5 No Refund – Client at Fault

If ProSansaar concludes that the Client is at fault (e.g., unreasonable rejection of reasonably completed work, scope creep without agreement, non-cooperation, or misuse of work):

  • No refund will be issued to the Client; and
  • The escrowed funds will be released to the Professional (after commission and fees).

8.6 Shared Responsibility

If both parties share responsibility, ProSansaar may decide on a partial refund or split of funds at its discretion.

8.7 Within the Platform, ProSansaar's decision on fund allocation from escrow is final and binding.

9

Payment Gateways, Fees, Taxes, and Compliance

9.1 Third Party Payment Gateways

ProSansaar currently uses Razorpay and PayPal as third party payment processors. By making or receiving payments on the Platform, you also agree to:

  • Razorpay's terms and privacy policy; and/or
  • PayPal's terms and privacy policy,

depending on the payment method you use.

9.2 Payment Data and Security

  • Card, bank, and other sensitive payment details are processed directly by Razorpay or PayPal.
  • ProSansaar does not store full card details or sensitive bank information on its servers.
  • Your payment data is governed by the respective payment gateway's privacy and security policies, which we do not control.

9.3 Platform Commission and Fees

  • ProSansaar may charge fees and/or commission on transactions between Clients and Professionals.
  • Such charges will be shown on the Platform before you confirm a payment or withdrawal.
  • The commission and fees are deducted from the amount payable to the Professional.

9.4 GST, Income Tax, FEMA & RBI Compliance

  • All transactions are subject to applicable GST, income tax, and other statutory levies under the laws of India and any other relevant jurisdiction.
  • ProSansaar (ROQTO INNOVATIONS) may charge GST on its platform fees, where applicable, and reflect this on invoices.
  • Professionals are responsible for calculating, reporting, and paying their own income tax, GST (if registration is required or obtained), and any other applicable taxes.
  • Cross border payments and foreign exchange transactions (if any) are subject to Foreign Exchange Management Act (FEMA), Reserve Bank of India (RBI) guidelines, and other applicable regulations.
  • By using the Platform, Users agree to comply with these tax and regulatory obligations.

9.5 ProSansaar is not liable for any penalties, interest, or issues arising from a User's non-compliance with tax or regulatory requirements.

10

Content and Intellectual Property

10.1 User Content

Users may upload or publish content such as profiles, portfolios, descriptions, and reviews. You confirm that:

  • You own or have permission to use such content; and
  • Your content does not infringe any third party rights.

10.2 By posting content on the Platform, you grant ProSansaar (ROQTO INNOVATIONS) a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform.

10.3 Platform Content

All trademarks, logos (including ProSansaar), designs, text, software, and other materials provided by the Platform are owned by or licensed to ROQTO INNOVATIONS and protected by intellectual property laws.

You may not copy, modify, distribute, or exploit Platform content without our prior written consent.

Privacy and Data Protection

  • 11.1 ProSansaar processes personal data in accordance with its Privacy Policy, available on the Platform. The Privacy Policy explains what data we collect, how we use it, and your rights.
  • 11.2 By using the Platform, you consent to our collection and use of your information as outlined in the Privacy Policy.
  • 11.3 When you make or receive payments, Razorpay and/or PayPal will also process your data under their own privacy policies.

Reviews and Feedback

12.1 Clients may submit reviews and ratings about Professionals and their services.

12.2 Reviews must be honest, fair, and based on actual experiences. You must not post reviews that are false, abusive, defamatory, or intended only to harm someone's reputation.

12.3 ProSansaar may remove or edit reviews that violate these Terms or applicable law.

Platform Availability and Changes

  • 13.1 We aim to keep the Platform available and functioning smoothly but do not guarantee uninterrupted, secure, or error-free operation.
  • 13.2 We may modify, update, suspend, or discontinue any part of the Platform at any time, with or without notice.
  • 13.3 We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Platform after such changes means you accept the updated Terms.

Disclaimers

14.1 The Platform and all services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.

14.2 ProSansaar and ROQTO INNOVATIONS do not warrant that:

  • The Platform will always be secure or free from errors;
  • Any particular Professional or Client will fulfil their obligations; or
  • The services will meet your expectations in all cases.

14.3 You use the Platform at your own risk.

Limitation of Liability

15.1 To the maximum extent permitted by law, ROQTO INNOVATIONS, ProSansaar, and their officers, employees, and affiliates will not be liable for:

  • Any indirect, incidental, special, or consequential damages;
  • Any loss of profits, revenue, data, or business opportunities,

arising from or related to your use of the Platform.

15.2 To the extent permitted by law, the total liability of ROQTO INNOVATIONS / ProSansaar for any claim arising out of or related to the Platform or these Terms is limited to the total amount of fees you have paid to ProSansaar in the three (3) months immediately before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless ROQTO INNOVATIONS, ProSansaar, and their officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of:

  • Your use of the Platform;
  • Your breach of these Terms; or
  • Your violation of any rights of another person or entity.

Governing Law and Jurisdiction

17.1 These Terms and any disputes arising out of or relating to them or your use of the Platform shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

17.2 Subject to any mandatory legal requirements, you agree that the courts located in Thane, Maharashtra, India (or another appropriate court in Maharashtra) shall have exclusive jurisdiction over all such disputes.

18

Termination

18.1 You may stop using the Platform at any time and may request deletion of your Account, subject to our legal and data retention obligations.

18.2 ProSansaar may suspend or terminate your Account or access to the Platform at any time, with or without notice, if:

  • You breach these Terms;
  • You engage in fraudulent, abusive, or harmful behaviour; or
  • We are required to do so by law or regulatory authorities.

18.3 Upon termination, your right to use the Platform will cease immediately, but provisions which by their nature should survive (such as intellectual property, limitation of liability, and dispute resolution) will continue to apply.
